GENERAL TERMS OF USE — IMPACT BUSINESS BUILDERS NETWORK SDN BHD

OPERATIONAL DEFINITION & INTERMEDIARY STATUS

These General Terms of Use ("General Terms") govern the access, browsing, purchase, registration, and booking of items, digital assets, tickets, events, and professional services listed on any website, application, or software platform (collectively, "Our Websites" or "Platform") owned and operated by Impact Business Builders Network Sdn Bhd.

In these General Terms, "IBBN", "Company", "We", "Us", or "Our" refers to Impact Business Builders Network Sdn Bhd, its subsidiaries, affiliates, agents, servants, and contractors.

IMPORTANT NOTICE ON MARKETPLACE ROLE:

IBBN operates solely as a technological host, payment facilitator, and venue listing platform. IBBN is NOT the manufacturer, seller, supplier, provider, host, or organizer of the products, digital goods, events, or consultation services listed on Our Websites. All items and services are provided directly by independent third-party sellers, registered corporate entities, service providers, and Non-Governmental Organizations (collectively, "Merchants / NGOs").

By accessing, purchasing, or booking via Our Websites, you ("User", "Buyer", "Client", "You", or "Your") acknowledge and agree to these General Terms.

• MERCHANT & NGO REGULATORY COMPLIANCE & LICENSING

1.1 Sole Responsibility for Statutory Compliance: Merchants and NGOs are solely and fully responsible for ensuring that all products (physical and digital), events, ticket offerings, and professional consultations comply with all applicable Malaysian laws, regulations, and statutory codes.

1.2 Licensing & Regulatory Approvals: Where required by Malaysian law, the respective Merchant or NGO warrants that it has secured all mandatory permits, licenses, certifications, and government approvals from relevant ministries and authorities prior to listing on IBBN. This includes, but is not limited to:

SSM Business Registration: Registration under the Registration of Businesses Act 1956 or Companies Act 2016, and compliance with the Consumer Protection (Electronic Trade Transactions) Regulations 2012.

Ministry of Health (KKM) / MDA: Approvals, notifications, or licenses for cosmetics, health supplements, medical devices, or healthcare-related consultations.

JAKIM Halal Certification: Valid halal certifications where products or events are advertised or represented as Halal.

KPDN / Local Council (PBT) Permits: Entertainment, public assembly, police, or local municipal permits for events, exhibitions, and fundraising activities organized by NGOs.

1.3 Platform Disclaimer: IBBN does not independently audit, verify, represent, or warrant the validity, authenticity, or completeness of any permits, statutory licenses, or regulatory approvals claimed by Merchants or NGOs.

• WARRANTIES, PRODUCT RIGHTS & DISCLAIMERS

2.1 No Platform Warranty: All products, digital downloads, event admissions, appointments, and consultation services purchased via IBBN are provided on an "AS-IS" and "AS-AVAILABLE" basis by the respective Merchant or NGO.

2.2 Merchant Product Guarantees: Any express or implied product warranties, guarantees of acceptable quality under the Consumer Protection Act 1999 ("CPA 1999") or Sale of Goods Act 1957 ("SOGA 1957"), or promises of fitness for purpose are provided exclusively and directly by the Merchant or NGO.

2.3 Intellectual Property & Licensing Rights: Merchants and NGOs warrant that they possess all lawful intellectual property rights, distribution licenses, or copyright permissions to sell, stream, or distribute Digital Products, software, media, and consultation frameworks. IBBN disclaims all liability for copyright or trademark infringements committed by third-party Merchants or NGOs.

• REFUNDS, CANCELLATIONS & RETURN POLICIES

3.1 Direct Merchant Obligation: All policies regarding order cancellations, returns, defect replacements, event postponements, session rescheduling, or monetary refunds are set, administered, and fulfilled strictly by the respective Merchant or NGO in accordance with their individual terms and Malaysian consumer laws.

3.2 IBBN Platform Fees Non-Refundable: In the event that a Merchant or NGO approves or is legally ordered to issue a refund to a Buyer:

The Merchant or NGO is solely responsible for disbursing the refundable sum.

IBBN payment gateway charges, processing fees, administrative costs, and SST taxes incurred during the original transaction remain strictly non-refundable.

3.3 Dispute Escalation: Buyers must address all product defect claims, non-delivery notices, appointment cancellations, or refund demands directly to the fulfilling Merchant or NGO. IBBN has no legal obligation to mediate, arbitrate, or compensate for disputes between Buyers and Merchants/NGOs.

• SPECIFIC VERTICAL PROVISIONS

A. Digital Products (e-Books, Downloads, Media, Software)

All digital content is hosted or dispatched under the license of the issuing Merchant/NGO. Title, copyright, and customer support remain with the Merchant/NGO. Once access keys or download links are dispatched, refund requests must be handled directly with the Merchant/NGO.

B. Physical Goods (Merchandise, Books, Retail)

Packaging, quality control, shipping, delivery timelines, and statutory product returns under the Consumer Protection Act 1999 are the direct contractual duty of the fulfilling Merchant/NGO. IBBN assumes no risk of loss or damage during transit.

C. Events & Ticketing (Live Shows, Seminars, Workshops)

Event safety, venue compliance, local authority permits, schedules, line-ups, and door entry management are entirely managed by the Event Organizer or NGO. IBBN acts solely as an e-ticketing sales portal.

D. Appointments for Consultations & Services

Professional guidance, advisory services, and coaching sessions are rendered directly by independent consultants or NGOs. IBBN does not guarantee any specific business, legal, or financial outcome from consultations booked through the Platform.

• PAYMENTS, PAYMENT GATEWAYS & BANKING DATA SECURITY

5.1 Payment Processing via Licensed Third Parties: All payment transactions completed on Our Websites (including FPX online banking, credit/debit card processing, e-wallet transactions, and DuitNow QR) are securely routed and processed through licensed, Bank Negara Malaysia (BNM)-compliant third-party payment gateways and merchant acquirers.

5.2 Non-Storage of Financial & Banking Data: IBBN does NOT collect, store, process, or hold any sensitive payment information, including full credit/debit card numbers, Card Verification Value (CVV/CVC) numbers, bank account login credentials, or PINs on its servers. All sensitive financial data is submitted directly to PCI-DSS certified third-party payment gateway providers.

5.3 Currency & Tax: All orders are billed in Malaysian Ringgit (MYR) unless otherwise specified. Prices listed are subject to applicable taxes, including Malaysia’s Sales and Service Tax (SST), where mandated by law.

5.4 Failed / Duplicate Charges: If Your account is debited twice due to network timeouts during payment gateway processing, contact IBBN Support immediately. Verified duplicate transactions resulting from gateway errors will be refunded following verification.

• LIMITATION OF LIABILITY & INDEMNITY

6.1 Absolute Liability Exclusion: To the maximum extent permitted by Malaysian law, IBBN (including Impact Business Builders Network Sdn Bhd, its directors, officers, employees, subsidiaries, affiliates, agents, servants, and contractors) shall NOT be liable for any direct, indirect, special, incidental, punitive, or consequential damages, including but not limited to:

Defective or unsafe physical products supplied by Merchants.

Inaccurate or infringing Digital Products distributed by Merchants/NGOs.

Cancelled, delayed, or unsafe events hosted by Organizers or NGOs.

Negligent advice, misrepresentation, or failure of performance during booked consultations.

Failure of a Merchant or NGO to obtain required statutory licenses or regulatory permits.

Payment gateway downtimes, banking connection dropouts, or unauthorized third-party interferences occurring on external payment gateway channels.

6.2 Indemnification by Users & Merchants: You agree to fully defend, indemnify, and hold harmless IBBN against all claims, lawsuits, administrative fines, liabilities, damages, and legal fees (on a solicitor-client basis) arising out of or related to Your breach of these Terms, or any breach of law/regulatory default committed by a Merchant or NGO whose listing You accessed.

• APPLICABLE LAW & JURISDICTION

7.1 Governing Law: These General Terms shall be governed by, interpreted, and enforced in accordance with the laws of Malaysia (including the Electronic Commerce Act 2006, Consumer Protection Act 1999, and Personal Data Protection Act 2010).

7.2 Exclusive Jurisdiction: Any legal action, dispute, or proceeding arising out of or in connection with IBBN's platform or services shall fall under the exclusive jurisdiction of the Courts of Malaysia.
